Artist Marketplace Agreement

This Artist Marketplace Agreement ("Agreement") is entered into between you ("Artist," "you," or "your") and The Marketing Department Inc., operating as JustPix® ("JustPix," "we," "us," or "our"). This Agreement governs your participation in the JustPix artist marketplace (the "Marketplace").

This Agreement supplements the JustPix Terms and Conditions and Privacy Policy, which also apply to your use of the Marketplace. In the event of a conflict between this Agreement and the general Terms and Conditions, this Agreement controls with respect to your Marketplace participation.

By submitting an application to the Marketplace or uploading artwork to the Site, you agree to be bound by this Agreement.

1. Eligibility and Application

1.1 Eligibility

To participate in the Marketplace, you must be at least 18 years of age, have the legal capacity to enter into this Agreement, and own or control the rights to the artwork you intend to upload.

1.2 Application and Approval

Artists must apply through the Marketplace application process on the Site. Your application will progress through our review workflow: draft, processing, under review, and then either approved, rejected, or published. Acceptance is at our sole discretion. We are not obligated to provide reasons for rejection, though we will make reasonable efforts to do so.

1.3 Account Requirements

You must maintain an active JustPix account in good standing throughout your participation. You are responsible for keeping your account information accurate and up to date, including your PayPal email address for payouts.

2. Your Artwork

2.1 Ownership — You Keep Your Copyright

You retain full copyright and ownership of all artwork you upload to the Marketplace. Participation in the Marketplace does not transfer any ownership of your intellectual property to JustPix. You are free to sell, license, display, or distribute your artwork on any other platform or through any other channel.

2.2 Content Standards

All artwork uploaded to the Marketplace must meet the following standards:

Quality Requirements:

• Minimum resolution of 300 DPI for print production.
• Suitable for reproduction on physical products (wall art, prints, and related items).

Content Requirements — you may not upload artwork that:

• Infringes the copyright, trademark, or other intellectual property rights of any third party.
• Contains trademarks, logos, or branding you do not own or have authorization to use.
• Is unlawful, defamatory, hateful, threatening, harassing, or obscene.
• Depicts or promotes illegal activity.
• Contains personally identifiable information of third parties without their consent.
• Violates any applicable federal, provincial, state, or local law.

2.3 Content Review

Uploaded artwork goes through a review workflow before publication. Artwork may be held in any of the following statuses: draft, processing, under review, approved, rejected, or published. We reserve the right to reject artwork that does not meet our content standards or that we determine, in our sole discretion, is not suitable for the Marketplace.

2.4 Representations and Warranties

By uploading artwork, you represent and warrant that you are the original creator of the artwork or have obtained all necessary rights, licenses, and permissions to grant the license described in Section 3, that the artwork does not infringe the rights of any third party, that you have obtained any necessary model or property releases for recognizable individuals or private property depicted in the artwork, and that the artwork complies with all applicable laws.

3. License Granted to JustPix

3.1 Scope of License

By uploading artwork to the Marketplace, you grant JustPix a non-exclusive, worldwide, royalty-free license to:

• Display your artwork on the Site, including creating thumbnails, previews, watermarked samples, and other derivative display formats.
• Reproduce your artwork on physical products (prints, canvases, framed art, and related items) for the purpose of fulfilling customer orders.
• Market and promote your artwork in JustPix marketing materials, including but not limited to paid advertisements on Meta platforms (Facebook and Instagram), social media posts, email marketing campaigns, website featured sections, and partner or affiliate promotions.
• Create derivative formats necessary for production and display, including resizing, cropping for product templates, colour profile adjustments, and format conversion.

3.2 What This License Does Not Include

This license does not grant JustPix ownership of your artwork, the right to sub-license your artwork to third parties for their independent use, the right to sell or distribute digital copies of your artwork as standalone files, or the right to use your artwork in any manner unrelated to the Marketplace or JustPix's business operations.

3.3 Duration of License

This license remains in effect for as long as your artwork is published on the Marketplace. When you remove artwork (see Section 6), the license terminates going forward, with the following exceptions: orders already in production or fulfilled before removal will not be recalled, and marketing materials already published or distributed before removal may remain in circulation for a reasonable wind-down period not to exceed 90 days.

4. Tier System and Earnings

4.1 Tier Structure

Artists are placed into performance tiers based on rolling 90-day sales data. The current tiers are:

4.2 How Earnings Are Calculated

Your earnings per sale are determined by a base surcharge amount (which varies by product type) multiplied by your tier multiplier (ranging from 1.0x at Debut to 2.5x or higher at Platinum). The specific base surcharge amounts and multiplier values are displayed in your artist dashboard and may be updated from time to time.

4.3 Tier Movement

Tier assignments are recalculated automatically based on your rolling 90-day sales performance. You may move up or down tiers as your sales volume changes. Tier changes take effect at the next calculation cycle.

4.4 Earnings Transparency

You can view your current tier, earnings history, and sales performance in your artist dashboard at any time.

5. Payouts

5.1 Payment Method

All Marketplace earnings are paid out via PayPal. You must provide and maintain a valid PayPal email address in your Marketplace settings.

5.2 Payout Schedule

Payouts are processed on a monthly basis. The specific payout date and any minimum payout thresholds are communicated in your artist dashboard.

5.3 Taxes

You are solely responsible for reporting and paying any income taxes, sales taxes, or other taxes applicable to your Marketplace earnings. JustPix does not withhold taxes on your behalf unless required by law. If required by law, we may request tax identification information from you (such as a Social Insurance Number, Social Security Number, or business tax number) and issue applicable tax forms.

5.4 Currency

Earnings are calculated and paid in the currency displayed in your artist dashboard. Currency conversion, if applicable, is handled by PayPal at their prevailing exchange rate.

6. Removing Your Artwork

6.1 Your Right to Remove

You may remove any of your artwork from the Marketplace at any time through your artist dashboard. Removal takes effect promptly, subject to the license survival terms described in Section 3.3.

6.2 JustPix's Right to Remove

We reserve the right to remove any artwork from the Marketplace at any time, with or without notice, for reasons including but not limited to violation of the content standards in Section 2.2, receipt of a valid copyright infringement claim (see Section 8), changes to our business operations or content policies, and inactivity on your account for an extended period. We will make reasonable efforts to notify you if your artwork is removed and provide a reason where practical.

7. Creator Program — Additional Terms

7.1 Overview

Certain artists may also participate in the JustPix creator program, which involves producing original content (photos, videos) featuring JustPix products for marketing purposes, in addition to selling artwork on the Marketplace. The creator program is a separate, optional opportunity.

7.2 Content Agreements

By joining the creator program, you explicitly agree to the following five content terms:

1. Ad Usage. Content you create may be used in paid advertisements on Meta platforms (Facebook and Instagram) and other paid advertising channels.
2. Repurposing. Content you create may be repurposed by JustPix for future marketing campaigns across any channel.
3. Original Content. You will create original content photographed or filmed in your own space, without watermarks, third-party filters, or content that you do not have the right to use.
4. Evergreen Usage. Content usage rights are evergreen (perpetual) unless a different term is explicitly agreed upon in writing between you and JustPix.
5. Raw Footage. You will provide raw footage and a clean MP4 file upon request by JustPix.

7.3 Referral Commissions

Creators earn referral commissions on qualifying purchases made through their unique referral link. Purchase attribution is tracked via a referral cookie placed on the buyer's browser. The cookie duration is configurable in your creator settings. Commission rates and structure are communicated during the application process and may be updated from time to time with reasonable notice.

7.4 Creator Program Termination

Either you or JustPix may terminate your participation in the creator program at any time by providing written notice (email is sufficient). Upon termination, your referral link will be deactivated, earned but unpaid commissions will be paid out on the next regular payout cycle, and content usage rights granted under Section 7.2 survive termination as stated (evergreen unless otherwise agreed in writing).

8. Copyright Infringement Claims

8.1 Respect for Third-Party Rights

JustPix respects intellectual property rights and expects Marketplace artists to do the same. If we receive a valid notice of copyright infringement regarding your artwork, we will remove or disable access to the artwork promptly, notify you of the claim and provide a copy of the notice, and give you the opportunity to submit a counter-notice if you believe the claim is invalid.

8.2 Repeat Infringers

We reserve the right to terminate the Marketplace participation of any artist who is the subject of repeated copyright infringement claims.

8.3 Filing a Claim

If you believe artwork on the Marketplace infringes your copyright, please follow the DMCA / copyright notice procedure described in our Terms and Conditions.

9. Indemnification

You agree to indemnify, defend, and hold harmless The Marketing Department Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your artwork (including any claim that your artwork infringes third-party rights), your breach of this Agreement, your violation of any applicable law, and your participation in the creator program, including content you produce.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JUSTPIX'S TOTAL LIABILITY TO YOU UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL EARNINGS PAID TO YOU THROUGH THE MARKETPLACE IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100.00), WHICHEVER IS GREATER.

IN NO EVENT SHALL JUSTPIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR PARTICIPATION IN THE MARKETPLACE.

11. Term and Termination

11.1 Term

This Agreement is effective from the date your Marketplace application is approved and remains in effect until terminated by either party.

11.2 Termination by You

You may terminate this Agreement at any time by removing all of your artwork from the Marketplace and contacting us at support@justpix.com to confirm your withdrawal.

11.3 Termination by JustPix

We may terminate this Agreement at any time, with or without cause, by providing you notice at the email address associated with your account. Where practical, we will provide 30 days' notice for terminations without cause.

11.4 Effect of Termination

Upon termination, your artwork will be removed from the Marketplace (subject to the license survival terms in Section 3.3), any earned but unpaid commissions will be paid out on the next regular payout cycle, and your obligation to indemnify JustPix under Section 9 survives termination.

12. Modifications to This Agreement

We may modify this Agreement from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify you by email at least 15 days before the changes take effect. Your continued participation in the Marketplace after the effective date of any changes constitutes your acceptance of the modified Agreement. If you do not agree to the changes, you may terminate this Agreement as described in Section 11.2.

13. Governing Law and Disputes

This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under this Agreement shall be resolved in accordance with the dispute resolution provisions in the JustPix Terms and Conditions.

14. Entire Agreement

This Agreement, together with the JustPix Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and JustPix regarding your participation in the Marketplace and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
